Job SummaryThe Commercial Counsel will play a critical role in providing legal advice to business colleagues on global commercial matters, including sales and procurement, regulatory, data privacy and security, and other assigned areas. The Commercial Counsel will develop a strong working knowledge of the business and operational goals in assigned areas. The Commercial Counsel will work closely with the General Counsel and other members of the Legal team to develop and review operating policies and practices to ensure compliance with applicable laws and regulations. The Commercial Counsel will have significant experience drafting, negotiating, and reviewing commercial agreements (e.g., consulting agreements, services agreements, vendor agreements, purchasing agreements, subscription agreements, etc.) and will be excited to collaborate with cross-functional teams to identify, manage, and mitigate legal risks in support of a growing company’s objectives. The successful candidate will bring the highest professional and ethical standards with an ability to be proactive and work independently. The successful candidate will also bring a practical mindset with thoughtful judgment and a bias for action in a fast-paced environment. Essential Duties and Responsibilities Provide legal advice to business colleagues on global commercial matters, including sales and procurement, regulatory, data privacy and security, and other assigned areas. Lead complex and strategic negotiations with clients, vendors, and other parties. Ensure agreements follow the company’s legal, business, and compliance policies throughout the entire contract management lifecycle. Build and maintain strong relationships with internal teams, outside parties, and legal counsel. Serve as the primary point of contact for internal teams on contract- and negotiation-related inquiries and facilitate effective communication between parties. Develop and review operating policies and practices to ensure compliance with applicable laws and regulations. Work closely with the other members of the Legal team to continuously evaluate and improve processes and procedures, including templates, playbooks, and workflows that adhere to the company’s policies and enable business performance. While this is an individual contributor role, this role may be asked to provide oversight to certain activities of members of the Legal team. Education and Experience Juris Doctor (JD) degree from an accredited law school and active license to practice law in the relevant jurisdiction. 5+ years of experience advising on commercial and operational matters, preferably in a health care or similar highly regulated environment. Skills and Ability Ability to negotiate effectively with clients, vendors, and other parties on complex negotiations. Knowledge of relevant statutes and regulations, such as GDPR, HIPAA, and other privacy laws. Excellent written and verbal communication skills, with the ability to convey complex information clearly and concisely. High level of attention to detail and accuracy, with the ability to manage multiple tasks simultaneously. Proficiency in contract management software and Microsoft Office Suite. Ability to work independently with minimal supervision and collaborate effectively in a team environment. Proven organizational skills, a strong tolerance for ambiguity, detail-oriented with ability to function strategically and tactically under pressure. Supervisory Responsibilities: Physical Demands: While performing the duties of this job, the occupant is regularly required to: Prolonged periods of sitting at a desk and working on a computer.Prolonged use of computer and headphones for conference calls.Communicate effectively via phone, video, and email.Use hands and fingers to operate a computer and other office equipment.
