GET TO KNOW YOUR AREA:

The Lead Legal Counsel & Compliance Officer NA is a member of Envu’s Legal and Compliance Team and reports to Envu’s Head of Legal & Compliance. The role is based in Cary, North Carolina and is responsible for providing legal support to Envu’s business in the North America region.

YOUR MISSION WILL BE TO:

  • Member of the NA Leadership Team advising the Head of NA and regional leadership on strategic topics affecting commercial operations in the U.S. and Canada.
  • Leadership of all regional legal and compliance matters including corporate, commercial, litigation, governance, regulatory, labor, and compliance.
  • Lead and conduct complex contract analysis, drafting and negotiation, developing and enforcing processes for standard and non-standard contracts.
  • Retain, instruct and manage outside counsel for litigation and specialized advice.
  • Manage corporate governance matters for legal entities in the U.S. and Canada, leading and coordinating with internal and external stakeholders.
  • Management and monitoring of potential labor, regulatory, and compliance risks, mitigating the same through proactive prevention measures.
  • Managing government investigations and inquiries in coordination with the Head of Legal & Compliance;
  • Implementation and improvement of legal processes, set up internal KPI´s, especially to improve efficiency, reduce risks and costs.
  • Provide local legal support for M&A projects.
  • In coordination with the Global IP Counsel, advise on patent and trademark matters in the region.
  • Draft and implement local polies, provide legal interpretation and trainings on the policies.
  • Lead the investigation of compliance cases in the region.
  • Support global projects and legal matters as directed by Envu’s Head of Legal and Compliance.

ARE YOU READY FOR THE ROLE?

Main requirements:

  • Juris Doctor degree required, preferably from a top 14 law school.
  • 5-7 years of work experience as a lawyer with preference for in-house experience.
  • Experience working in a multinational environment preferred
  • Experience supporting global M&A and licensing transactions is preferred
  • Ability to work in a fast-paced private equity environment with competing priorities, tight deadlines, and minimal supervision
