The Senior Contracts Manager plays a critical role within the Legal Department, responsible for the preparation, negotiation, review and administration of a wide range of agreements and other client-related documents. These include, but are not limited to, customer sales contracts, service agreements, market access agreements, confidentiality agreements, and distribution agreements. This role requires independent review and negotiation of all agreement terms and conditions, ensuring alignment with Company policy and relevant requirements. The Senior Contracts Manager will collaborate closely with cross-functional teams including Commercial Sales, Market Access, Finance, Operations, and other key stakeholders. The position also supports the Legal Department in maintaining various corporate records, preparing legal documents, and managing corporate legal filings. Due to the nature of the work, this role regularly handles sensitive and confidential information.What you'll be doing:
Draft, review, negotiate, and manage a broad range of agreements, including customer sales contracts, distribution agreements, vendor and service agreements, GPO/IDN agreements, payer agreements, and confidentiality agreements, ensuring alignment with applicable laws and Company policies.
Independently evaluate and negotiate contract terms and conditions to minimize risk and ensure compliance with applicable laws and Company policies.
Collaborate with internal stakeholders to understand business needs and ensure contracts support strategic objectives.
Provide comprehensive contract management support, including drafting and execution of standard form legal agreements and amendments, while ensuring timely and accurate processing in accordance with Company policies and procedures.
Develop and implement streamlined contract workflows and approval processes to improve efficiency and maintain consistency and compliance across departments.
Manage and optimize the Company’s Contract Management System to ensure accurate tracking, storage, and easy retrieval of executed contracts and other legal documents; generate reports and insights to support decision-making.
Assist legal counsel in the preparation and management of various corporate documents (e.g., contracts, NDAs, vendor agreements, formal notices, affidavits, etc.).
Coordinate state qualification and other corporate filings and for the Company and its subsidiaries, ensuring timely renewals and compliance with applicable requirements. Keep current on legal qualification requirements of individual states.
Promote a culture of compliance and ethical conduct, holding oneself and others accountable to the Company’s Code of Compliance and Ethics as well as policies and procedures and internal controls applicable to their role.
Perform additional duties and responsibilities as assigned.
What you'll bring to the table:
- Bachelor’s degree required; advanced legal training or certification (e.g., paralegal certificate) is a plus.
- Notary public certification preferred, or willingness to obtain.
- A minimum of 5 years of relevant experience in corporate contract management or paralegal work, preferably including in-house experience within the medical device, pharmaceutical, or healthcare industries; experience in a regulated industry is required.
- Proven ability to manage multiple complex projects simultaneously, delivering high quality work within tight deadlines.
- Strong collaboration skills, with demonstrated ability to work effectively with legal counsel (internal and external) and to interact with senior management.
- Self-motivated and highly organized, with the ability to work independently and efficiently in a fast-paced, team-oriented environment. Good business judgment and decision-making skills. Proactive approach, with the initiative to identify and resolve issues.
